Terms of Service

These Terms govern your use of Padan Scan, a macOS application published by Padan — PT Bahana Penjuru Darussalam ("Padan", "we", "us"). Please read them alongside our Privacy policy and Refund policy.

1. Acceptance

By downloading, installing, purchasing, or using Padan Scan (the "App"), you agree to these Terms. If you do not agree, do not install or use the App. If you are using the App on behalf of an organisation, you confirm you have authority to accept these Terms for that organisation.

2. Licence grant

Subject to these Terms and to payment of the applicable fee, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on a single Mac that you own or control. The licence is annual and renew-to-continue: it runs for one year from the date of purchase, and you must renew it to keep using the App beyond that term. The App is licensed, not sold; we and our licensors retain all rights not expressly granted.

3. Orders and Merchant of Record

Orders for the App are sold and processed by our authorised reseller, Paddle.com Market Ltd ("Paddle"), acting as Merchant of Record. Paddle handles checkout, payment processing, and the collection and remittance of any applicable VAT or sales tax. Your purchase is therefore also subject to Paddle's Buyer Terms and Conditions, which apply in addition to these Terms. Where these Terms conflict with Paddle's Buyer Terms in relation to the purchase transaction itself, Paddle's Buyer Terms govern that transaction.

4. Free trial

The App offers a free 3-page trial, allowing you to process your first 3 pages without a licence or payment so that you can evaluate it. Continued use beyond the trial requires a paid licence. We may change or withdraw the trial for future users at any time.

5. Permitted use and restrictions

You may use the App for your own document-processing and translation work. You must not, and must not permit others to:

• copy, redistribute, sell, rent, lease, lend, or otherwise make the App available to any third party;
• resell, sublicense, or transfer your licence key to anyone else;
• reverse-engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law;
• circumvent, disable, or interfere with the App's licensing, trial limits, or security; or
• use the App in any unlawful way or in breach of any third party's rights.

6. On-device processing; your documents and backups

The App processes everything on your Mac. Your source documents are not uploaded to us, and we operate no servers that receive your documents. As a result, you are solely responsible for your own source documents, the App's output, and your backups. We do not hold copies of your files and cannot recover them for you. You are responsible for ensuring you have the rights to process any document you put through the App, and for complying with your own confidentiality and data-protection obligations.

7. Intellectual property

The App, including its software, design, text, and the "Padan" and "Padan Scan" names and marks, is owned by Padan and its licensors and is protected by intellectual-property laws. These Terms grant you no rights in our trademarks. The text you extract from your own documents belongs to you; nothing in these Terms claims any right in your content.

8. Disclaimer of warranties

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OCR accuracy is not guaranteed. Recognition quality depends on the legibility of your source, and the App may misread text. You must review the App's output before relying on it — this is particularly important for sworn, legal, and official translation work. We do not warrant that the App will be uninterrupted, error-free, or compatible with future versions of macOS or third-party tools.

9. Limitation of liability

To the maximum extent permitted by law, Padan will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or relating to the App or these Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the App or these Terms will not exceed the amount you paid for the App in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Term, renewal, and termination

Your licence runs for one year and continues only if renewed. You may stop using the App and decline to renew at any time. We may suspend or terminate your licence if you materially breach these Terms. On termination, your right to use the App ends and you must stop using it; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. Material changes will apply going forward; your continued use of the App after an update constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of Yogyakarta, Indonesia, except where mandatory consumer-protection law gives you the right to bring proceedings elsewhere.
